Purpose of the Service
Thecharmingsquire provides high-level facility management and corporate concierge services for embassies, class A offices, and diplomatic headquarters in Argentina. Our scope includes preventive and corrective maintenance of infrastructure, executive reception, access control, room coordination, and auxiliary technical cleaning services.
The client acknowledges that the service is provided under a B2B model, exclusively aimed at legal entities or government agencies, and is not intended for individual or residential consumption.
Client Obligations
The client agrees to provide truthful and complete information about the facilities to be managed, as well as to facilitate access for Thecharmingsquire personnel to all areas covered by the service during agreed hours.
- Notify any changes in access hours or property conditions at least 48 business hours in advance.
- Maintain valid liability and fire insurance policies for the building.
- Not interfere with the tasks of assigned personnel or request work outside the scope of the contract.
- Pay for services within the stipulated deadlines in the monthly invoice.
Use of Information
The client authorizes Thecharmingsquire to record access data, visits, and operational updates for quality control and continuous improvement purposes. This data will not be shared with third parties without express consent, except as required by law.
Responsibility of Thecharmingsquire
Thecharmingsquire undertakes to perform the services with the diligence and professionalism typical of the industry, using trained personnel and appropriate materials. Our liability is limited to direct and verifiable damages caused by proven negligence of personnel during service provision.
We assume no responsibility for damages arising from:
- Hidden defects in the client's infrastructure not reported at the start of the contract.
- Force majeure, acts of God, or acts of third parties beyond our supervision.
- Interruptions in public services (electricity, water, connectivity) that affect task execution.
- Improper use of the facilities by the client's personnel or visitors.
Under no circumstances shall Thecharmingsquire's aggregate liability exceed the value of the last month of service invoiced to the client.
Intellectual Property and Confidentiality
All manuals, protocols, management software, and materials developed by Thecharmingsquire for service provision are our intellectual property. The client may not reproduce, distribute, or use them outside the scope of the contract without written authorization.
Both parties agree to maintain the confidentiality of commercial, technical, and operational information exchanged during the term of the agreement, even after its termination, for a period of two years.
Confidentiality Exception
Information that is in the public domain, must be disclosed by court order, or has been previously authorized for disclosure by the client shall not be considered confidential.
Term and Termination
The service contract shall have an initial term of twelve months, automatically renewable for equal periods unless either party notifies its intention not to renew at least 60 days prior to expiration.
Either party may terminate the contract early in the event of a material breach of obligations, following written notice with a 30-day period to remedy the breach. The following are considered material breaches:
- Non-payment of two consecutive invoices or three alternating invoices within a six-month period.
- Violation of confidentiality or intellectual property clauses.
- Fraudulent actions or repeated negligence that jeopardize the safety of the facilities.
In the event of early termination, the client must pay for services rendered up to the effective cessation date, plus a penalty equivalent to 20% of the remaining contract value if the termination is without just cause.
Modifications and Jurisdiction
Thecharmingsquire reserves the right to modify these terms at any time, notifying the client at least 15 days in advance by email or written communication. If the client does not express disagreement within that period, the modifications will be deemed accepted.
For any dispute arising from the interpretation or execution of these terms, the parties submit to the jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, expressly waiving any other forum or jurisdiction that may apply.
